Help with sentence, please

English to German Law/Patents Law: Contract(s) Joint Venture
Hallo,

dieser Satz ist in einem Joint Venture-Vertrag enthalten und macht mir ein wenig Kummer:

"The agreement shall be open for acceptance until the date limited for hereby the incorporation and organization of the JV company."

Ich stehe auf dem Schlauch und bin unglücklicherweise ziemlich in Eile. Kann jemand schnelle Hilfe anbieten?

Yes, Steffen, my interpretation of the sentence is the same as yours. I have just requested the client to clarify this matter.

Non-native gibberish I guessed as much - please ask the lawyer to explain what he meant and/or to rewrite the sentence. The first part "The agreement shall be open for acceptance until the date..." does make sense but is incomplete IMHO. I believe the part thereafter belongs in a completely different place.

That said, a <B>very</B> long shot might be to interpret the sentence as "The period during which the agreement shall be open for acceptance is limited by the date on which the JV company is incorporated (and organized)."

Ich vermute jedoch, daß gemeint ist, daß die angebotene Vereinbarung bis zum Ablauf der Gründungsfrist angenommen werden kann.
