"1. La Société jouira de la personnalité morale à dater de son immatriculation au Registre du Commerce et des Sociétés.

2. Toutefois, les associés approuvent les actes accomplis avant ce jour, pour le compte de la Société en formation, par Monsieur X., tels que ces actes sont relatés dans l'état ci-annexé, avec précision des engagements qui en sont les conséquences.

Toutes ces opérations et engagements en résultant seront réputés avoir été faits et souscrits dès l'origine par la Société qui les reprendra à son compte par le seul fait de son immatriculation au Registre du Commerce et des Sociétés."

Finding a natural-sounding solution for the last paragraph is what I'm struggling with, particularly the term above ("taking over the responsibility for"?) and "souscrit" ("signed" in this context?)

Any other thoughts would be welcome.
